This End User License Agreement ("Agreement") is a binding legal contract between you ("you" or "User") and Fronic ("Fronic", "we", "us") governing your installation and use of the Fronic mobile application, including all of its components, updates, and accompanying materials (the "App"). The Fronic signalling service and the websites at fronic.net and apk.fronic.net are also covered by this Agreement to the extent you use them through or together with the App. BY TAPPING "AGREE & CONTINUE", OR BY INSTALLING, ACCESSING, OR USING THE APP, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL OR USE THE APP, AND DELETE ANY COPY IN YOUR POSSESSION. 1. ELIGIBILITY 1.1 You must be at least 16 years old, or the age of digital consent in your country if higher, and have the legal capacity to enter into this Agreement. If you use the App on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation. 1.2 You may not use the App if you are barred from doing so under any applicable law, or if you are located in, ordinarily resident in, or a national of a country or territory subject to a comprehensive government embargo or sanctions, or if you appear on any government list of prohibited or restricted parties. 2. LICENSE GRANT 2.1 Subject to your continuous compliance with this Agreement, Fronic grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and run one copy of the App on a mobile device that you own or control, solely for your own lawful, personal or internal business communications. 2.2 This is a license, not a sale. No ownership rights are transferred to you. All rights not expressly granted are reserved by Fronic. 3. OWNERSHIP AND INTELLECTUAL PROPERTY 3.1 The App and all copies and portions of it, including its source and object code, user interface, designs, text, graphics, logos, the "Fronic" name and marks, protocols, cryptographic constructions, and all related documentation, are the exclusive property of Fronic and are protected by copyright and other intellectual property laws and international treaties. Licensed to Fronic. 3.2 You must not remove, alter, or obscure any copyright, trademark, or other proprietary notice in or on the App. 3.3 Any feedback or suggestions you provide about the App may be used by Fronic without restriction or obligation to you. 4. RESTRICTIONS You must not, and must not permit or help any third party to: 4.1 copy, reproduce, publish, distribute, sell, resell, rent, lease, lend, sublicense, host as a service, or otherwise make the App available to any third party; 4.2 modify, adapt, translate, or create derivative works of the App; 4.3 reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, file formats, or protocols of the App, except and only to the extent that this restriction is expressly prohibited by applicable mandatory law; 4.4 extract, derive, or obtain any cryptographic key, shared secret, credential, or other embedded material from the App by reverse engineering or any other means, or use, retain, share, publish, or permit any third party to use any such key, secret, or credential, for any purpose other than the App's own ordinary, unmodified operation; 4.5 use any key, secret, or credential described in Section 4.4, or any other means, to access, query, scan, enumerate, brute-force, flood, degrade, or otherwise attack, disrupt, or place abnormal load on the Fronic signalling service or any device connected to it, in any manner and by any tool or method, and whether or not the request is made through the App itself; 4.6 circumvent, disable, or interfere with any security, authentication, rate-limiting, licensing, or access-control feature of the App or the Fronic signalling service, or attempt to gain unauthorised access to any account, device, system, or data; 4.7 use the App to develop, train, or improve any product or service that competes with the App, or to benchmark or publish comparisons without Fronic's prior written consent; 4.8 use any robot, script, scraper, or automated means to access, place calls through, register accounts on, or place load on the App or the Fronic signalling service, or place bulk, automated, or unsolicited calls; 4.9 use the App in any manner not expressly permitted by this Agreement. 5. ACCEPTABLE USE 5.1 You are solely responsible for all activity conducted through the App with your device and phone number, and for all content you transmit. 5.2 You must not use the App to, or in connection with any attempt to: (a) violate any applicable local, national, or international law or regulation, or to plan, facilitate, encourage, or carry out any unlawful act; (b) infringe or misappropriate the intellectual property, privacy, publicity, or other rights of any person; (c) harass, threaten, intimidate, stalk, defame, or abuse any person, or incite or promote violence, self-harm, hatred, or discrimination; (d) transmit or solicit any content that is unlawful, fraudulent, deceptive, obscene, or that sexualises, exploits, or endangers a minor; the App must never be used for child sexual abuse material or for any exploitation of minors; (e) commit or facilitate fraud, phishing, social engineering, impersonation, identity theft, money laundering, or the financing of terrorism; (f) buy, sell, or arrange any transaction in illegal drugs, weapons, stolen goods, or other contraband, or engage in human trafficking or any other serious crime; (g) distribute malware, spyware, or other harmful code, or disrupt, overload, or impair any network, server, or system; (h) evade sanctions, export controls, lawful interception, or law enforcement, or conceal or misrepresent your identity to deceive others or to commit a wrong. 5.3 The App's end-to-end encryption is a privacy protection for ordinary, lawful communication. It is not provided as, and must not be used as, a means of shielding criminal conduct from accountability. 5.4 Fronic does not and cannot access the content of your calls or messages, and does not monitor them. Fronic may, without notice, suspend or terminate your access to the Fronic signalling service if it reasonably believes you have violated this Agreement, and may report activity and disclose the limited information it holds (such as a registered phone number) where required to do so by a valid legal process or to protect the rights, safety, or property of Fronic or others. 6. EXPORT CONTROLS, SANCTIONS, ANTI-MONEY LAUNDERING, AND COUNTER-TERRORISM FINANCING 6.1 The App may contain or use cryptographic functionality subject to export control laws. You represent and warrant, on a continuing basis for as long as you use the App, that you will comply with all applicable export, re-export, sanctions, anti-money laundering, and counter-terrorism financing laws, and that you will not export, transfer, access, or use the App in violation of them. 6.2 You represent and warrant that you are not, and are not acting on behalf of, (a) a person or entity designated on any sanctions or watch list maintained by the United Nations, the European Union, the United States (including OFAC's Specially Designated Nationals list), the United Kingdom, or any other applicable government, (b) a national or resident of, or an entity organised in, a country or territory subject to a comprehensive embargo, or (c) a person or organisation identified, designated, or proscribed as a terrorist or terrorist organisation under applicable law. 6.3 The App provides voice and messaging communication only. It does not process, hold, transmit, or facilitate the transfer of money, virtual currency, securities, or other value, is not a money transmitter, payment service provider, or financial institution, and must not be used to move, launder, layer, or conceal the proceeds of crime, or to raise, move, or provide material support or resources for terrorism, regardless of amount or intent. 6.4 If Fronic reasonably believes your use of the App relates to sanctions evasion, money laundering, or terrorism financing, it may, without notice, suspend or terminate your access under Section 12.2, and may report the activity and any information it holds to competent authorities, whether or not compelled to do so by legal process. 7. PRIVACY Fronic is designed to minimise the data it holds. Calls and messages are end-to-end encrypted between devices, and there is no call or message history on the Fronic signalling service. Your use of the App is also subject to the Fronic privacy notice published at fronic.net, as updated from time to time. 8. UPDATES AND CHANGES 8.1 Fronic may release updates, and may modify, suspend, or discontinue the App or the signalling service, in whole or in part, at any time. 8.2 Fronic may amend this Agreement. Material changes will be presented for your acceptance in the App or posted at fronic.net. Your continued use of the App after a change takes effect constitutes acceptance of the amended Agreement. 9. DISCLAIMER OF WARRANTIES THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONIC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE APP WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY CALL OR MESSAGE WILL CONNECT OR BE DELIVERED. YOU USE THE APP AT YOUR OWN RISK. 10. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR COMMUNICATIONS, ARISING OUT OF OR RELATING TO THE APP OR THIS AGREEMENT, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FRONIC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FRONIC FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM, OR TEN EURO (EUR 10). NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. 11. INDEMNIFICATION You will defend, indemnify, and hold harmless Fronic and its representatives from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or relating to (a) your use of the App, (b) your violation of this Agreement, (c) your violation of any law or of the rights of any third party, or (d) any content you transmit through the App. 12. TERMINATION 12.1 This Agreement is effective until terminated. It terminates automatically without notice if you breach any of its terms. 12.2 Fronic may also terminate or suspend the license and your access to the signalling service at any time if it reasonably believes you have violated this Agreement or applicable law. 12.3 On termination you must stop all use of the App and delete all copies. Sections 3, 4, 5, 9, 10, 11, and 13 survive termination. 13. GENERAL 13.1 This Agreement is governed by the laws of Romania, without regard to its conflict-of-laws rules. The courts of Romania have non-exclusive jurisdiction over any dispute, and Fronic may also bring proceedings in any court with jurisdiction over you or over conduct that breaches this Agreement. Nothing here deprives a consumer of the protection of mandatory provisions of the law of their country of residence, or of the right to bring proceedings there. 13.2 If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in full force. 13.3 Fronic's failure to enforce a provision is not a waiver of it. 13.4 You may not assign this Agreement. Fronic may assign it in connection with a merger, acquisition, or sale of assets. 13.5 This Agreement, together with the notices it references, is the entire agreement between you and Fronic regarding the App and supersedes all prior understandings. 13.6 Questions about this Agreement: contact@fronic.net.
